# Terms of Service (Draft)

These Terms of Service (“Terms”) govern your use of **Audio Vault** (https://audiovau.lt) operated by **Muse & Machine LLC** (“Company”, “we”, “us”). By creating an account or using the service, you agree to these Terms and our [Privacy Policy](privacy.md) and [Content Policy](content-policy.md).

## The Service

Audio Vault helps you upload, store, organize, and play **your music files** in original form. The web app may offer **simulated streamer controls** that do **not** produce real audio on physical streamer hardware ([D-110](../mvp/DECISIONS.md#streamer-and-version-2)). Simulated playback is labeled in the product; it is not a substitute for a compatible browser or future hardware integration.

## Private Library — Owner Access Only

Audio Vault is a **personal, private library** for **you alone**:

1. **Only you** (the authenticated account holder) may stream, browse, or download **your** uploaded music through the service.
2. We do **not** offer public pages, share links, embeds, collaborative libraries, follower feeds, or any feature that makes your music available to other people.
3. Your music is **not** licensed, sold, broadcast, or distributed to other Audio Vault subscribers, visitors, or third parties through the product.
4. Other users **cannot** access, search, or play your library. Accounts are isolated; we do not operate a social or file-sharing network.
5. **Future paired devices** (for example, a home streamer you authorize on **your** account) may retrieve **your** files only under **your** login and device authorization. Pairing does not grant access to anyone else’s account or turn your library into a shared or public service.

If you want others to hear your music, you must do so **outside** Audio Vault. The service is for **your** backup, organization, and **personal** listening only.

## Account Terms

1. You must provide accurate registration information and keep credentials secure.
2. You are responsible for activity under your account and for files you upload.
3. You must be a human; automated signups are prohibited.
4. You must comply with our [Content Policy](content-policy.md).

## Subscriptions and Billing

1. Paid plans are billed through **Stripe** in **USD**. Current list prices: **$49/month** or **$490/year** (~17% discount), including **2 TB** storage unless otherwise stated at checkout ([D-30](../mvp/DECISIONS.md#subscription-stripe-and-launch-geography)–[D-31](../mvp/DECISIONS.md#subscription-stripe-and-launch-geography)).
2. **Free trial:** 14 days with payment method required ([D-36](../mvp/DECISIONS.md#subscription-stripe-and-launch-geography)). If you do not cancel before trial end, your subscription begins and Stripe charges per your selected interval.
3. **Failed payment:** After a failed charge, you have a **7-day grace period** during which uploads may be blocked but playback may continue; we do **not** automatically delete your music ([D-37](../mvp/DECISIONS.md#subscription-stripe-and-launch-geography)).
4. **Cancellation:** You may cancel via the **Stripe Customer Portal**. Access continues until the end of the current billing period. **No pro-rata refunds** on voluntary cancel, except where mandatory law requires otherwise ([D-38](../mvp/DECISIONS.md#subscription-stripe-and-launch-geography)).
5. Taxes may apply based on your location. Prices are exclusive of applicable taxes unless stated otherwise.

## Refunds and Statutory Consumer Rights

These provisions apply **in addition to** our voluntary cancellation policy above. Where local law gives you stronger rights, **that law controls** over any conflicting commercial policy in these Terms.

### Voluntary Cancellation (Commercial Policy)

Except where mandatory law requires otherwise, we do **not** provide partial or pro-rata refunds when you cancel a paid subscription before the end of the billing period you already paid for. You keep access through that period ([D-38](../mvp/DECISIONS.md#subscription-stripe-and-launch-geography), `SUBSCRIPTION_PRORATE_REFUND=false` in [CONFIG.md](../mvp/CONFIG.md)).

### Service Failure

If Audio Vault is materially unavailable or not as described for an extended period through our fault, contact **[support@audiovau.lt](mailto:support@audiovau.lt)**. We will work in good faith to restore service and, where required by applicable law or equitable practice, offer a refund or account credit for the affected period.

### European Union, European Economic Area, and United Kingdom

If you are a **consumer** in the EU, EEA, or UK, the following apply in addition to any other non-waivable rights:

1. **14-day right of withdrawal.** You may have the right to **withdraw from a distance contract within [`SUBSCRIPTION_WITHDRAWAL_DAYS`](../mvp/CONFIG.md)** days without giving a reason. The withdrawal period usually starts the day after the subscription contract is concluded (for example, when you complete paid signup or when your free trial converts to a paid plan, as applicable).

2. **Effect of withdrawal.** If you validly withdraw, we will **reimburse all payments** we received from you for the withdrawn contract without undue delay and in any event **no later than [`SUBSCRIPTION_WITHDRAWAL_REIMBURSE_DAYS`](../mvp/CONFIG.md) days** from the day we receive your clear withdrawal notice. We will use the same payment method you used for the original transaction unless you agree otherwise; you will not incur fees as a result of the reimbursement except as permitted by law.

3. **Digital service — early performance.** Audio Vault is a **digital service** that begins immediately when you access your account. Where required by law, we will ask you at signup or checkout to **request immediate access** and to **acknowledge that you lose your right of withdrawal** once performance has begun during the withdrawal period. If you do not give that acknowledgment where required, your statutory withdrawal rights are not limited by this clause.

4. **How to withdraw.** Send a clear statement of withdrawal to **[privacy@audiovau.lt](mailto:privacy@audiovau.lt)** (subject line: “Withdrawal”) or by post to Muse & Machine LLC at the business address on file *(counsel to supply)*. Include your account email and the date of your decision. You may use the **EU model withdrawal form** if we publish one at checkout; using the form is not required.

5. **Non-conforming digital services.** Nothing in these Terms limits remedies you may have under applicable law if the digital service is **not supplied as agreed** (including repair, price reduction, or termination with refund where the law provides).

### Norway

If you are a **consumer in Norway**, you have rights under the **Norwegian Consumer Purchases Act** (*Forbrukerkjøpsloven*) and related rules, including withdrawal and remedies for non-conforming digital content or services where applicable. Contact **[privacy@audiovau.lt](mailto:privacy@audiovau.lt)** to exercise those rights. **Counsel to finalize** Norwegian checkout disclosures and any required Norwegian-language summary before go-live ([AV-T22](../mvp/TODO.md)).

### Other Jurisdictions

If you are a consumer elsewhere, any **mandatory cooling-off, refund, or fair-trading rights** in your jurisdiction apply to the extent they cannot be waived by contract.

### Counsel Review Before Publication

Statutory refund and withdrawal text, checkout acknowledgments, and jurisdiction-specific forms remain subject to **qualified counsel review** ([AV-T22](../mvp/TODO.md)) before linking from signup, checkout, or the Stripe Customer Portal.

## Your Content

1. **You retain ownership** of music and files you upload. You grant us a limited license to store, transmit, display catalog metadata to **you**, and deliver files back to **you** and **devices you pair to your account** solely to operate your **private** library. We do not acquire rights to sell, license, or publicly perform your music.
2. You represent that you have the rights to upload your content for **personal storage and playback by you**, and that your use does not infringe others’ rights.
3. Audio Vault is **not** a public file-sharing, social listening, or distribution platform. You must not use it to make music available to others. See [Content Policy](content-policy.md).
4. We may remove content or suspend accounts that violate these Terms or applicable law (including attempts to share, redistribute, or publicly expose stored music).

## Service Availability and Changes

We provide the service on an **“as is” and “as available”** basis. We may modify features, limits, or pricing with notice as required by law. Engineering limits (e.g., per-file size, concurrency) are described in product documentation and [CONFIG.md](../mvp/CONFIG.md).

## Termination

We may suspend or terminate accounts for violations, abuse, or non-payment. You may delete your account; deletion triggers retention and purge periods in the [Privacy Policy](privacy.md).

## Limitation of Liability

To the maximum extent permitted by law, Muse & Machine LLC is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data beyond our stated backup and recovery obligations. **Counsel to review** jurisdiction-specific limits and mandatory consumer rights (EU/UK/Norway).

## Governing Law and Disputes

**Counsel to assign** governing law and dispute resolution (US state, arbitration, etc.) before publication.
